Caldwell County borrowers, especially those with thin credit files or urgent cash needs, are sometimes targeted by high-cost products that look like business loans but behave like debt traps. Here is what to watch for:
Merchant Cash Advances (MCAs)
A merchant cash advance is not a loan — it is a purchase of your future sales. The provider takes a fixed daily or weekly percentage of your business revenue until a set repayment amount is reached. Effective APRs routinely run 60%–300% or higher. MCAs are largely unregulated as credit products. Some legitimate businesses use them as a last resort for very short periods, but they are frequently mis-sold as "easy business loans" to borrowers who would have qualified for a real loan.
High-Fee Online Lenders
Some online platforms advertise "instant" or "no credit check" business loans with origination fees of 5%–10% and interest rates of 30%–99% APR. Always ask for the APR — not just the "factor rate" — before signing anything. Texas SB 2611 now requires this disclosure for many products.
Stacking
Some brokers or lenders will encourage you to take out multiple MCAs or short-term loans simultaneously — called "stacking." This can spiral into unmanageable daily payments that exceed your cash flow within weeks.
Upfront Fee Scams
Legitimate lenders do not ask for large upfront fees before approving or funding your loan. If someone asks for $500–$2,000 "processing" or "insurance" fees before you receive any funds, it is almost certainly a scam.
Signing Personal Guarantees Without Reading Them
Many business loans require a personal guarantee, which means your personal assets (not just business assets) can be collected if you default. This is common and not always bad — but you should know exactly what you are guaranteeing before signing. Ask a counselor at the SBDC (free) to review the document with you.
Pressure to Sign Quickly
A reputable lender gives you time to read your loan documents, ask questions, and compare offers. If anyone is pressuring you to sign the same day with urgency language like "this offer expires tonight" or "we have other buyers," slow down. Good loan offers do not disappear overnight.

Texas Homestead Protections
Texas has one of the strongest homestead exemption laws in the country. Your primary residence generally cannot be seized to satisfy most business debts — but there are exceptions for mortgages on the home itself, property taxes, and a few other liens. Texas Business Usury Limits
Texas Finance Code Chapter 302 sets limits on how much interest a lender can legally charge. For most commercial loans, the legal maximum rate is the higher of 18% per year or 6 percentage points above a federal reference rate. Merchant cash advance products and certain fee structures are not always captured by these limits — which is one reason some alternative lenders exploit them.
SB 2611 / Texas Commercial Financing Disclosure Act
As of September 1, 2023, Texas law (SB 2611) requires certain commercial financing providers — including merchant cash advance companies, factoring companies, and some online lenders — to provide a standardized disclosure before you sign. This disclosure must show the total amount financed, the total repayment amount, and the equivalent annual percentage rate (APR). If a lender refuses to give you this disclosure for a Texas commercial loan, walk away.
Caldwell County Clerk — DBA and Business Filings
If you operate under a name different from your own legal name, Texas law requires you to file an Assumed Name Certificate (DBA) with the Caldwell County Clerk in Lockhart. Cost is minimal and some lenders require proof of this filing before approving a business loan.
Texas Secretary of State — LLC and Entity Registration
Forming an LLC in Texas costs $300 for the Certificate of Formation. Having an LLC can help separate personal and business liability and may make it easier to open a business bank account — which lenders often require.
No State Income Tax
Texas has no personal or corporate state income tax, which simplifies your tax picture somewhat, but self-employment taxes at the federal level still apply.
